These Terms of Service (“Terms”) govern your use of the website at kovamedia.io and the services provided by SEB Studio (“SEB Studio”, “we”, “us”, or “our”). By using our website or engaging our services, you agree to these Terms. Please read them carefully.
1. Our services
SEB Studio provides website design and development, AI-generated commercials and video, email & SMS marketing, and related creative and technical services. The specific scope, deliverables, timeline, and fees for any engagement are set out in a proposal, quote, or statement of work (“SOW”). The applicable SOW, together with these Terms, forms the agreement between us.
2. Quotes & proposals
Quotes and proposals are valid for 30 days unless stated otherwise. Work begins once you have accepted the proposal and paid any required deposit.
3. Fees & payment
- Fees are as set out in the applicable proposal or SOW.
- A deposit (typically 50%) may be required before work begins, with the balance due on completion or per the agreed schedule.
- Invoices are payable within 14 days unless otherwise agreed. Late payment may result in paused work.
- Third-party costs — such as domains, hosting, stock assets, software subscriptions, and advertising spend — are billed separately or paid directly by you.
4. Your responsibilities
To deliver on time, we rely on you to provide accurate information, content, and assets, and to give timely feedback and approvals. You confirm that you own or have the rights to any materials you provide to us.
5. Revisions & scope
Each project includes the number of revision rounds stated in the SOW. Work beyond the agreed scope (additional revisions, new features, or new deliverables) will be quoted and billed separately at our current rates.
6. Timelines
Any timelines we provide are good-faith estimates and depend on timely input and approvals from you. We are not liable for delays caused by late materials, third-party services, or events beyond our reasonable control.
7. Intellectual property
Upon receipt of full payment, ownership of the final deliverables created specifically for you transfers to you. This does not include third-party materials, stock, fonts, or our own pre-existing tools, templates, and components, which are licensed to you for use within the deliverables rather than assigned. Unless we agree otherwise in writing, we may display completed work in our portfolio and marketing.
8. AI-generated content
Some deliverables — particularly commercials and media — may be produced using AI tools. You are responsible for reviewing and approving all outputs before use. We do not guarantee that AI-generated content is unique, and both parties agree to comply with the terms of the underlying AI providers.
9. Third-party services
Our services may rely on third-party platforms (such as hosting, email/SMS providers, analytics, and payment processors), which are subject to their own terms and availability. We are not responsible for the acts, omissions, or downtime of third parties.
10. Confidentiality
Each party agrees to keep the other’s non-public information confidential and to use it only for the purpose of the engagement.
11. Warranties & disclaimer
Our website and services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied. We do not warrant that the site or services will be uninterrupted or error-free, or that they will achieve any specific business, traffic, or revenue result.
12. Limitation of liability
To the maximum extent permitted by law, SEB Studio’s total liability arising out of or related to the services is limited to the amount you paid for the services giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill.
13. Termination
Either party may terminate an engagement as set out in the applicable SOW. On termination, you remain responsible for fees for work completed up to the termination date, and any completed deliverables are subject to the payment terms above.
14. Governing law
These Terms are governed by the laws of the jurisdiction in which SEB Studio is established, without regard to conflict-of-law principles, and any disputes will be subject to the courts of that jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. Changes take effect when posted on this page, and your continued use of the site or services constitutes acceptance.
